Emraz Zaman is the Managing Director of Roland & Co. as well as being a solicitor with a particular focus on general corporate and commercial work. Emraz has been successful in carrying out and completing a series of complex corporate and commercial transactions ranging from £50k to £150mn in deal value/sales/purchases. Emraz advises client developers, funders, investors, sellers, and purchasers in relation to elements of renewable energy projects and their corporate structures. His work often involves drafting and negotiating share purchase agreements, asset sale agreements, legal due diligence reporting, investments agreements, development management agreements, operation & maintenance agreements, power purchase agreements and supply/services agreements.

Since qualifying in 2017, Emraz has acted within a range of industry sectors including, Corporate Energy & Utilities, Real Estate, Financial Services, Manufacturing, Hospitality and Owner Managed Businesses. Some of his recent experience includes:

• Acted for a major UK energy generator plc in the £150mn disposal of the entire issued share capital of a Top 10 UK-based utilities company group (energy);
• acting for the Seller of the entire issued share capital of a limited company (£1.9mn) (student HMO SPV) to a Singapore-based PE Fund;
• acting for a large builder’s merchant in the £5mn acquisition of the entire issued share capital of a competitor company;
• acting for a regional property developer in the drafting and negotiation of contractual joint venture agreements for property development (GDV value £5.6 mn)(real estate development);
• acting for a large Telecoms PLC in the £2mn asset disposal of a customer contract book;
• acting for the minority shareholders of a national ICT service company on the £1.1mn share buy-back of their interests in the company;
• acting for the Sellers of the entire issued share capital of a national building asbestos survey company (£2.9mn) (service company/building works) to a PLC;
• acting for the Sellers of the entire issued share capital of an animal veterinary pharmaceuticals company (£4.8mn)(veterinary pharmaceuticals);

Emraz is a bilingual speaker of English and Bengali, as well as having excellent command of Hindi and Urdu.
